E-LEARNING TERMS AND CONDITIONS

These terms set out the terms and conditions which apply to your access and use of our Services (as defined below) when purchased via our website located at TheLearningEnterprise.co.uk (“Website”) and accessed through the ‘My Learning Hub’ portal (the “Portal”) (together, the “Sites”). These terms and conditions tell you who we are, how we will provide Services (as defined below) to you, how you and we may end the Contract (as defined below), what to do if there is a problem and other important information.

The Sites are operated by HCRG Care Ltd (t/a The Learning Enterprise), The Heath Business Park, Runcorn, Cheshire, WA7 4QX (“TLE“). TLE is an independent Ofsted registered training provider, and part of HCRG Care Group.

 References in these terms and conditions to “we”, “us” and “our” means TLE and references to “you” or “your” means the Client (as defined below). To contact us, please use the contact details set out at the bottom of these terms and conditions.

By using the Sites, you and/or any Authorised User (as defined below) confirm that you accept these terms and conditions and agree to be bound by them. You and/or any Authorised User must not use the Sites if you do not agree to be legally bound by these terms and conditions. We recommend that you and/or any Authorised User print a copy of these terms and conditions for future reference. Your and/or any Authorised User’s continued use of any of the Sites will be deemed as your acceptance by you of these terms and conditions.

Please refer to our Privacy and Cookie Policy at Privacy and Cookie Policy – The Learning Enterprise for further information on how we process your and/or any Authorised User’s personal data in the course of providing the Services and information about the cookies (or similar technologies) we use on our Sites.  

 

DEFINITIONS

The following definitions apply in these terms and conditions:

Authorised User” means the individuals authorised to access and use the Services and have been (or will be) provided with an e-learning account with the Accounts Details (as defined below) by TLE.

“Client” means the individual, firm or company who purchases the Services, whether as a consumer (i.e. an individual acting outside the course of their trade, business or profession) or a business purchaser.

“Course” means a specific e-learning module which forms part of the Services.

Contract” means the contract between us and the Client for the provision of Services, which shall include these terms and conditions.

TLE Content” means data, documents, software, video, text, recording, audio or other content displayed or made available on the Sites, including the Materials.

 

“Services” means the Course(s) made available by us to you and/or the Authorised User through the Sites, but excluding the group courses (+4), 1:1 coaching and apprenticeship courses which shall be subject to separate terms and conditions.  

Materials” means the Courses, e-learning modules and all associated documents, products and materials provided by us as part of the Services.

BASIS OF CONTRACT

 An order constitutes an offer by the Client to purchase Services in accordance with these terms and conditions (an “Order”). The Order shall only be deemed to be accepted when we send through an order notification email (containing the Account Details (as defined below)) to the Authorised User, at which point and on which date a Contract shall come into existence between you and us (“Commencement Date”).

 

USE AND ACCESS TO THE SITES

TLE grants you and/or any Authorised User a non-exclusive, non-transferable and non-sublicensable right to remotely access and use the Sites and TLE Content as it is made available to you and/or any Authorised User solely for the purpose of receiving the Services and subject to their compliance with these terms and conditions.

If you are a business Client, you are responsible for ensuring that all individuals who access our Sites pursuant to your Contract with us (i.e. your Authorised Users), are aware of these terms and conditions, and that they comply with them.

The Sites will be accessible to individuals living outside of the United Kingdom. However, we do not represent that content (including the TLE Content) available on or through the Sites is appropriate for use or available in other locations outside of the United Kingdom.


REGISTRATION AND ACCOUNT DETAILS

To access the Services and Portal, you must provide a valid and current email address for each Authorised User. When you purchase any of the Services on the Website, we will create an e-learning account with a unique licence for you/each Authorised User using the full name of the intended learner and email address provided. We rely on the details provided by you at registration, so please ensure that these are accurate.

Each Authorised User should receive a username and password (together, the “Account Details”) by email from TLE to access the Portal. There shall be one Authorised User associated with each e-learning account. We will treat anyone who we send the Account Details to as the relevant Authorised User. The Authorised User must treat such information as confidential and must not share it with anyone else.

We have the right to disable any Account Details, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you and/or an Authorised User has failed to comply with any of these terms and conditions.

You will prevent unauthorised access to, or use of, the Portal and shall notify us promptly of any unauthorised use. If an Authorised User knows or suspects that anyone other than the relevant Authorised User knows their Account Details, the Authorised User must promptly notify us at TLEtraining@thelearningenterprise.co.uk.

 

BOOKING A COURSE WITH US

 Booking a Course with us is a simple process using the following steps:  

  • If you are new, you will need to create an account with us on the Website.
  • From the Website home page, simply select the Course(s) which you wish to purchase by clicking ‘Add to Basket’ > ‘Checkout’ > ‘Login’ (if not already logged in).
  • Note, that each Course is limited to one Authorised User. If you are purchasing a Course on behalf of other intended Authorised Users, then this must be reflected in the basket (e.g. if you are purchasing for three intended Authorised Users, the quantity in the basket should be three). If you are purchasing a Course on behalf of others, after the ‘Billing Details’ page, you will need to input details for all intended Authorised Users,
  • Payment can be made in the following ways (when available):
  • input your billing details by following the steps on screen on the SumUp gateway > Clicking ‘Place Order’ on the ‘Payment’ page will complete your order*; (Please note that the payment will be processed via SumUp and is subject to their terms and conditions which are available on their website (SumUp’s Term and Conditions). Please note that in the event of any conflict between these terms and conditions and SumUp’s Terms and Conditions, these terms and conditions shall prevail).
  • if SumUp is not available, input your debit or credit card details following the steps on screen on the Website > Clicking ‘Place Order’ on the ‘Payment’ page will complete your order.
  • by bank transfer (please contact us to arrange this by contacting us using the details provided under the Contact Us below).
  • payment over the phone (when available) (please contact us to arrange this by contacting us using the details provided under the Contact Us below).
  • An e-learning account will be created by us for you/each Authorised User (as applicable) following purchase.
  • Certain courses available on the Sites are aimed at groups with a minimum of 4 and a maximum of 12 attendees. Simply select ‘Apply Now’ on the relevant course page and complete the query form. Alternatively, you may contact us using the details under ‘Contact Us’ below. We will get in touch to discuss your specific requirements.
  • Payment for the Services is in advance.

Note, that apprenticeship courses cannot be purchased through the Website – you may contact us using the details provided under ‘Contact Us’ below if you have any queries in relation to our apprenticeship courses.

When you purchase a Course through the Website, we will send through an order notification email to the Authorised User. We reserve the right to refuse enrolment on any Course for any reason we deem reasonably appropriate and we will provide a full refund in such case.

Each Course will be valid and usable for up to 3 months from the date when we send Account Details to the Authorised User (the “Expiry Period”). More than one Course can be purchased at any one time; however, please note that each individual Course is subject to its own Expiry Period.

The Services supplied to you shall conform with this Contract.

 

FEES AND PAYMENT

 Course fees are displayed on the booking pages of the Website. You shall pay us the relevant fees as set out on booking page at the time of ordering. All our prices are shown in British Pounds Sterling (GBP) and are exclusive of VAT. The price including VAT shall be displayed in the order basket at the final stage of the ordering process. If the rate of VAT changes between the date of your Order and the date of delivery, we will adjust the VAT you pay, unless you have already paid for the Services in full before the change in VAT takes effect.

From time to time, we may change the Course fees. Except as set out below, such changes will not affect existing orders.

If there has been an error in the price displayed on the Sites for a Course and this affects your Order, we will try to contact you using the contact details you provided when you placed your Order. We will give you the option to re-confirm your Order at the correct price or to cancel your Order and get a full refund. If we are unable to contact you, we will treat the Order as cancelled and notify you by email.

We accept the following credit cards and debit cards: Visa and Mastercard. You can also pay by PayPal, Apple Pay and Google Pay


TLE CONTENT

The information contained or displayed on the Sites and TLE Content are, to the best of TLE’s knowledge, accurate when displayed. Our Materials are kept under regular review and will be updated from time to time in line with best practice guidelines. Whilst reasonable care has been taken to ensure that any information and/or Materials contained or displayed on the Sites are correct, TLE does not warrant or represent, or give any guarantee (whether express or implied) that such information (including the TLE Content) is or are free from errors or omissions and/or complete or up-to-date, or that the information contained or displayed on the Sites are suitable for your intended use.

 For Clients and/or Authorised Users based outside of the United Kingdom, we cannot represent that the training provided by us through the Services will be compliant with local standards.

TLE Content must not be downloaded or in any way retained outside of the Sites by any Authorised User (unless the Website and/or Portal expressly states that the TLE Content may be downloaded).

TLE Content must not be copied and/or distributed to any third party or another Authorised User who is not authorised to access the specific TLE Content made available on that applicable e-learning account. TLE shall not be responsible for, or credited to any TLE Content, which is unlawfully redistributed in breach of the above.

We may update and/or make changes to the TLE Content and the Services available; for example, to reflect changes in applicable laws and regulations, providing that the Materials and the Services made available always match the description of it that we provided to you prior to you purchasing it.

All TLE Content is owned and/or developed by TLE, except in cases where we have clearly stipulated that third party content has been utilised.


USER CONTENT

Whenever you make use of a feature that allows the Authorised User to upload or share content directly on the Portal (“User Content”), the Authorised User must comply with our acceptable use guidelines set out below. For all User Content the Authorised User submits to the Portal, you grant us a worldwide, royalty-free, non-transferable licence to use that User Content for the purposes of providing the Services.

We will not store or retain any User Content beyond the length of the Services it relates to.

 

AVAILABILITY

 Due to the nature of the Internet, we cannot guarantee that our Sites, or any TLE Content, will always be available or be uninterrupted. TLE makes no warranty that your and/or the Authorised Users’ access will be uninterrupted, timely or error-free and shall have no responsibility for any incompatibility of the Sites with any of your and/or the Authorised Users’ equipment, software, hardware or telecommunications links or any technical problems including errors or interruptions of the Sites.

The Authorised User is responsible for configuring their information technology, computer programmes and platform to access the Sites.

TLE may occasionally need to carry out repairs, maintenance or introduce new updates and features. We may suspend or withdraw or restrict the availability of all or any part of the Sites for business and operational reasons. We will try to give you reasonable notice of any such suspension or withdrawal.


ACCEPTABLE USE

In using the Sites, you and/or the Authorised User shall not:

  • use it or any TLE Content in any way that breaches or infringes any applicable law or regulation;
  • use it or any TLE Content for any purposes which are unlawful, would cause harm or distress to another person or would cause damage to our business or reputation;
  • access, store, distribute, upload or transmit any material that:
  1. is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or offensive;
  2. infringes any copyright or other intellectual property right of a third party;
  3. facilitates illegal activity;
  4. depicts sexually explicit images;
  5. promotes unlawful violence;
  6. is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
  7. in a manner that otherwise causes damage or injury to any person or property;
  • attempt to obtain or assist any third party in obtaining unauthorised access to, or use of, the Sites. You and/or any Authorised User must promptly notify us in writing in the event of any such unauthorised access or use of the Sites;
  • conduct, facilitate or permit any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Sites without our express written consent;
  • use data collected from the Sites to contact individuals, companies or other organisations (for any reason);
  • use data collected from the Sites for any direct marketing activity (including without limitation email marketing, SMS marketing, telemarketing and direct mailing);
  • attempt any of the above; or
  • authorise or permit any third party, whether acting on your behalf or not, to do any of the above.

 

INTELLECTUAL PROPERTY RIGHTS

All TLE Content belongs to us and all intellectual property rights in the Sites are owned by or are licensed to us. All such rights are reserved.

You and/or any Authorised User must not copy, modify, share, repost, reproduce, create derivative works from and/or distribute any TLE Content and/or use any TLE Content for commercial purposes without first obtaining our prior written approval or a license (where applicable).

If you and/or the Authorised User print off, copy, download, share or repost any part of our Sites in breach of these terms and conditions, your and/or any Authorised User’s right to use the Sites will cease immediately and you and/or the Authorised User must, at our option, return or destroy any copies of the materials you have made (except that you are permitted to print off a copy of these terms and conditions).

LINKS TO OUR SITES

You may link to our homepage on the Website provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to the Sites in any website that is not owned by you. The Sites must not be framed on any other site, nor may you create a link to any part of our Sites other than the home page.

We reserve the right to withdraw linking permission without notice. In the event that we exercise our discretion to withdraw such permission then, upon request, you agree to immediately remove any links to the Sites.

The website in which you are linking must comply in all respects with the content standards and acceptable use terms as set out in these terms and conditions.

We are not responsible for websites we link or refer to. Where the Sites contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the content or resources produced and we do not assume any responsibility or liability for any consent, opinions or material made available on them, including any loss or damage that arise from your use of them.


VIRUSES

We do not guarantee that the Sites will be secure or free from bugs, viruses or other malware. You and/or the Authorised User should use your/their own virus protection software.

Although we may put in place security measures for your protection, provided we have used reasonable care in doing so, we shall not be liable for damage to, or viruses or other code that may affect, any computer equipment, mobile device, software, data or other property as a result of your and/or the Authorised Users’ access to or use of the Sites or your obtaining any TLE Content from, or as a result of using, the Sites. We shall also not be liable for the actions of third parties in breaching any security measures.

You and/or the Authorised User must not misuse the Sites by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful or otherwise harmfully interacting with the Sites or any part of them.

You and/or the Authorised User must not attempt to gain unauthorised access to the Portal, the server on which the Sites are stored or any server, computer or database connected to the Sites or any other equipment or network connected with the Sites. You and/or the Authorised User must not interfere with, damage or disrupt any software used in the provision of the Sites or any equipment or network or software owned or used by any third party on which the Sites rely in any way. You and/or the Authorised User must not attack the Sites via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you and/or the Authorised User would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your and/or the Authorised User’s identity to them. In the event of such a breach, your and/or the Authorised User’s right to use each of the Sites will cease immediately.


RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU

If you are a business user:

 We exclude all implied conditions, warranties, representations or other terms that may apply to the Sites or any TLE Content.

We will not be liable to you and/or Authorised User’s for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising in connection with:

  • the use of, or inability to use, the Sites;
  • the use of or reliance on any content displayed on the Sites; or
  • a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your and/or Authorised User’s computer equipment, computer programs, data or other proprietary material due to your and/or Authorised User’s use of the Sites or to your and/or Authorised User’s downloading of any content on it, or on any website linked to it.

In particular, we will not be liable for any:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation;
  • loss or corruption of data, information or software;
  • claims by third parties; or
  • indirect or consequential loss or damage.

 

If you are a consumer:

  • We only provide the Sites for personal use. You agree not to use our Sites for any commercial or business purposes and we will have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

 

Whether you are a business user or a consumer:

Nothing in this these terms and conditions excludes or limits our liability for: (i) death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; (ii) fraud or fraudulent misrepresentation by us; or (iii) any other liability that cannot be excluded or limited by applicable law.


RIGHT TO CANCEL

 If you are a consumer, you have the right to change your mind about the Course ordered and to receive a refund. You may change your mind about a Course and cancel your purchase no later than 14 calendar days after the day we send the Account Details to you.

Note, that your right to cancel does not apply:

  • to any digital products after you have started to download and/or access these; or
  • Services once they have been completed.

We will refund you as soon as is reasonably possible via the method you used for payment and within 14 days of your cancellation request being received and accepted.

Please note that you have to pay for a Course you received before you change your mind. If you bought any Course, we have a right to deduct from any refund an amount proportional to the Services provided before you told us you’d changed your mind.

 

RIGHT TO REMEDY

 If you are a consumer, you have the right to ask us to either repeat or fix a Course if it is not carried out with reasonable care and skill, or to receive either a full or partial refund in the event that we cannot fix it, depending on the circumstances.

 

SUSPENSION / TERMINATING ACCOUNT

If we reasonably suspect that you and/or any Authorised User are in breach of these terms and conditions, we reserve the right, without liability to you and/or any Authorised User and without prejudice to our other rights, to:

  • send you and/or any Authorised User one or more formal warnings;
  • temporarily suspend your and/or any Authorised User’s access to the Sites;
  • permanently prohibit an Authorised User from accessing the Sites;
  • block computers using your IP address from accessing the Sites;
  • permanently suspend an Authorised User’s access to the Sites; and/or
  • delete your and/or any Authorised User’s e-learning account.

Where we suspend, prohibit or block your and/or any Authorised User’s access to the Sites or a part of these, you and/or any Authorised User must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).

Where reasonably possible, TLE will notify you and/or the Authorised User in advance where it is exercising its rights under this paragraph.


TERMINATION OF THE CONTRACT

This Contract shall commence on the Commencement Date. Unless terminated earlier in accordance with these terms and conditions, this Contract shall continue for as long as the Services are being accessed.

Without affecting any other right or remedy available to it, either you or we may terminate this Contract with immediate effect by giving written notice to the other party if:

  • the other party commits a material breach of any other term of this Contract which breach is irremediable or (if such breach is remediable) fails to remedy that breach within a period of 30 days after being notified in writing to do so;
  • the other party has a winding up petition presented or enters into liquidation whether compulsorily or voluntarily (otherwise than for the purposes of amalgamation or reconstruction without insolvency) or makes an arrangement with its creditors or petitions for an administration order or has a receiver, administrator or manager appointed over any of its assets, or a court or arbiter with authority to so determine, determines that the debtor is unable to pay its debts or any other similar process in any relevant jurisdiction which has a similar or analogous effect; or
  • the other party suspends or ceases, or threatens to suspend or cease, carrying on all or a substantial part of its business.

We shall have the right to terminate this Contract with immediate effect if we believe, acting reasonably, that the use of the TLE Content by you or any other act or omission of the Authorised User has or is likely to cause reputational damage to TLE.


TRANSFER OF TERMS

We may transfer our rights and obligations under these terms and conditions to another organisation, but this will not affect your rights.  We will notify you in writing, by e-mail or by posting on the Sites as appropriate if this happens.

You may not transfer your rights and obligations under these terms and conditions to a third party.

 

UPDATES TO THESE TERMS AND CONDITIONS

We may amend these terms and conditions from time to time. Please check these terms and conditions for any updates each time you wish to use our Sites to ensure you are aware of the terms and conditions that apply at that time. The date specified at the top of these terms and conditions indicate when these were last updated.

We may update the Sites from time to time. We will endeavour to give you reasonable notice of any major changes but we reserve the right to make changes as and when necessary.

 

ADDITIONAL TERMS

This Contract is between you and us. No other person shall have any rights to enforce any of its terms.

 Each of the sections of these terms and conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining sections will remain in full force and effect.

 If we do not insist immediately that you do anything you are required to do under these terms and conditions, or if we delay in taking steps against you in respect of your breaching this Contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

 

GOVERNING LAW AND JURISDICTION

If you are a consumer, please note that these terms and conditions, their subject matter and their formation, are governed by English law. We both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

If you are a business Client, these terms and conditions, their subject matter and formation (and any non-contractual disputes or claims) are governed by English law and both we and you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
